Terms of Service

The agreement between you and High5ive LLC for using Conmigo.

Please read these Terms carefully before using Conmigo, because they contain important limitations on our liability and require most disputes to be resolved by arbitration individually rather than in court.

Conmigo is operated by High5ive LLC, a limited liability company formed in Nevada, United States (“we”, “us”, “our”). These Terms apply to the Conmigo app, the website at conmigo.chat, and every other service we operate under the same account. By accessing or using any of them, you agree to be bound by these Terms. If you disagree with any part of them, you do not have our permission to use Conmigo.

Three other documents form part of this agreement and are incorporated by reference: our Privacy Policy, our Community Guidelines, and our Buying & Selling Rules. If you sell, or use any of the features described there, our Supplemental Terms apply too.

1. Who may use Conmigo

You must be 18 or over. Conmigo is not for children, and we ask for your date of birth when you register in order to check. By creating an account you confirm you are 18 or older, and that the information you give us is accurate, complete and kept current. Inaccurate, incomplete or out-of-date information may result in your account being terminated.

2. Your account

You are responsible for keeping your account and password confidential, and for everything that happens under your account, whether or not you authorised it. Tell us immediately at hello@conmigo.chat if you become aware of a breach of security or any unauthorised use.

You may close your account at any time, from within the app or by contacting us. What closing an account does — and what we keep afterwards — is described in our Privacy Policy.

We may suspend or terminate an account at our discretion, including for breaking these Terms, the Community Guidelines or the Buying & Selling Rules.

3. Plans and pricing

Conmigo is free to use. Some features require a paid plan:

Prices are in US dollars and do not include any taxes or fees you may be charged separately. We may change our prices; if we do, we will tell you before the change affects you, and the new price will apply from your next renewal rather than the period you have already paid for.

4. Subscriptions, renewal and cancellation

Paid plans are monthly subscriptions. They renew automatically each month using the payment method on file, until you cancel.

You can cancel at any time, yourself, from your account settings. You do not need to write to us, telephone us, or give advance notice.

When you cancel:

• You keep access until the end of the period you have already paid for. Cancelling does not cut you off immediately.
• You are not charged again.
• We do not refund the current period, or any period already paid. You bought that month and you keep that month.

Changing plans. You can move between plans at any time from your account settings. We never charge part of a month, and we never take money back, so a change is handled with time rather than a refund:

• Moving to a more expensive plan. The new plan starts immediately. The time left on your old plan is converted into time on the new one, at the two plans' prices, and you are not charged until that runs out. Because the new plan costs more, this works out as fewer days than you had left. Any part of a day is rounded up in your favour.
• Moving to a cheaper plan. Nothing changes today. You keep your current plan, and everything it includes, until the end of the month you have already paid for. The cheaper plan, and its lower price, begins on that date.
• Either way you are never charged twice for the same days, and you never lose time you have paid for.

If your plan includes selling and you move to one that does not, your selling features end when the paid period finishes.

Payments are handled by PayPal. We do not receive or store your card details.

5. Buying and selling

Conmigo includes a marketplace where people list items and buy from each other.

When you buy from a seller on Conmigo, your contract is with that seller, not with us. We provide the place where you meet, and we take payment through PayPal, but we do not own the goods, we do not ship them, and we are not a party to the sale. Whether an item is as described, arrives, or can be returned is a matter between buyer and seller, on the terms that seller offers.

Sellers must be identity-verified and hold a paid plan. Selling carries additional obligations, which are set out in the Buying & Selling Rules and the Supplemental Terms.

We may cancel a transaction where we reasonably suspect fraud, where an item is unavailable, or where a listing breaks our rules. We reserve the right to correct pricing errors.

6. Your content

You keep ownership of what you post, send and upload. You are responsible for it.

By submitting content to Conmigo, you grant High5ive LLC a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, translate, adapt for display, and distribute that content for the purpose of operating and providing Conmigo. This is what allows us to show your message to the person you sent it to, translate it so they can read it, display your listing to buyers, and keep it available across your devices.

That licence exists so the service can function. We do not use your content to train artificial intelligence models, and we do not sell or license it to anyone else for that purpose. Automatic translation is described in our Privacy Policy, and you should read that section before sending anything you would not want processed by an outside provider.

When you post something visible to other people, it is your responsibility to make sure it contains nothing confidential or proprietary. We may remove content at our discretion.

7. What you may not do

You agree to use Conmigo in accordance with all applicable laws and these Terms. The following list is not exhaustive. You agree not to:

• Impersonate High5ive LLC, its employees or representatives, or misrepresent your identity or affiliation with any person or entity;
• Send advertising or promotional material, including spam, junk mail or chain mail;
• Behave in a way that restricts or inhibits anyone else's use or enjoyment of Conmigo, or which may harm us or our users, or expose us or them to liability;
• Use Conmigo in a way that could disable, overburden, damage or impair it, or interfere with anyone else's use of it;
• Use any robot, spider, scraper or similar automated means to access, monitor or copy any part of Conmigo;
• Use any device, software or routine that interferes with its proper working, including viruses, trojan horses, worms or logic bombs;
• Attempt to gain unauthorised access to, interfere with, damage or disrupt any part of Conmigo, the servers it runs on, or any connected system or database;
• Attack Conmigo by means of a denial-of-service or distributed denial-of-service attack;
• Use Conmigo in any way that violates any applicable law, rule or regulation.

Rules about how to treat other people are in the Community Guidelines, and they are part of this agreement.

8. Third-party links and services

Conmigo may contain links to websites and services operated by others. We provide them for your convenience. We do not control them and are not responsible for their content, their practices or their privacy policies. Following such a link is at your own risk, and the terms of that third party will apply.

9. Copyright

If you believe content on Conmigo infringes your copyright, our notice-and-takedown process and our designated agent's details are on the Copyright & DMCA page. That page also explains how to dispute a removal.

10. No warranty

CONMIGO, AND THE ITEMS AND SERVICES DISPLAYED OR SOLD ON IT, ARE PROVIDED “AS IS”. NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OR OF FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.

We assume no liability for the availability, errors or inaccuracies of information, products or services on Conmigo. Information may be incomplete, out of date or incorrect, and items may be incorrectly priced or unavailable. Listing an item or service does not mean we endorse or recommend it.

11. Limitation of liability

IN NO EVENT SHALL HIGH5IVE LLC BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO, DISPLAY OF OR USE OF CONMIGO, OR WITH ANY DELAY OR INABILITY TO ACCESS, DISPLAY OR USE IT, INCLUDING BUT NOT LIMITED TO YOUR RELIANCE UPON OPINIONS OR INFORMATION APPEARING ON IT; ANY COMPUTER VIRUSES; INFORMATION, SOFTWARE, LINKED WEBSITES OPERATED BY THIRD PARTIES, PRODUCTS OR SERVICES OBTAINED THROUGH IT; WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, CONSUMER PROTECTION STATUTES OR OTHERWISE, EVEN IF HIGH5IVE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF HIGH5IVE LLC ARISING OUT OF OR RELATING TO CONMIGO, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY HIGH5IVE LLC FROM YOU.

THIS LIMITATION OF LIABILITY REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND US. THE LIMITATIONS IN THIS SECTION WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply to the greatest extent the law permits, and nothing in these Terms removes a right you have that cannot lawfully be removed.

12. Governing law, disputes and class action waiver

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be treated as a waiver of it. If any provision is held to be invalid or unenforceable, the remaining provisions continue in effect.

Any controversy or claim arising out of or relating to these Terms, including their interpretation or breach, shall be resolved by arbitration.

YOU AND HIGH5IVE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Changes to these Terms

We may change these Terms. When we do, we will update the date at the top of this page, and where a change materially affects your rights we will tell you in the app rather than rely on you re-reading this page. Continuing to use Conmigo after a change means you accept the revised Terms.
