End User Licence Agreement

The licence for the Conmigo software itself, on whatever device you install it.

This End User Licence Agreement (“Licence”) is a legal agreement between you and High5ive LLC, a limited liability company formed in Nevada, United States (“we”, “us”, “our”), for the Conmigo application and any updates to it (the “Software”).

By installing or using the Software, you accept this Licence. If you do not accept it, do not install or use the Software.

1. Licence granted to you

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the Software on devices that you own or control, for as long as you comply with this Licence.

This licence covers commercial use. Conmigo includes a marketplace, seller accounts and paid plans, and you are expressly permitted to use the Software to run a business, sell goods, and take payment, in accordance with our Buying & Selling Rules and Supplemental Terms. Nothing here restricts you to personal or non-commercial use.

Where you install the Software from an app store, the store's own terms also apply to that copy, and the number of devices you may install it on may be governed by your account with that store.

2. What you may not do

You may not:

• Copy the Software, except as necessary to install and back it up for your own use;
• Sell, rent, lease, lend, sublicense or otherwise distribute the Software to anyone else;
• Modify the Software, or create works derived from it;
• Reverse engineer, decompile or disassemble the Software, or attempt to derive its source code, except to the extent that applicable law expressly permits this despite the restriction;
• Remove, obscure or alter any notice of copyright, trademark or other proprietary right;
• Use the Software to build a competing product, or to extract our data in bulk;
• Circumvent, disable or interfere with any security, licensing or access-control feature;
• Use the Software in violation of any applicable law.

3. Ownership

The Software is licensed to you, not sold. We and our licensors retain all right, title and interest in it, including all intellectual property rights. This Licence gives you no rights in our trademarks, logos or brand.

Content you create using the Software remains yours; the licence you give us to host and display it is set out in the Terms of Service.

4. Third-party components

The Software includes components licensed from third parties, including open-source components. Those components are licensed to you under their own terms, which take precedence over this Licence for those components. Nothing here limits any right you have under an open-source licence.

5. Updates

We may provide updates, and the Software may install them automatically. This Licence covers any update unless that update comes with its own terms. We are not obliged to provide updates or to support any particular version indefinitely, and features may change or be withdrawn.

6. Term and termination

This Licence takes effect when you install the Software and continues until terminated. It terminates automatically if you breach it, without notice from us. We may also terminate it if we stop offering the Software.

On termination you must stop using the Software and remove it from your devices. Sections 3, 7, 8, 9 and 10 survive termination.

7. No warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of liability

IN NO EVENT WILL HIGH5IVE LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU HAVE ACTUALLY PAID US.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is so, the exclusions and limitations above apply to the greatest extent the law permits, and nothing in this Licence removes a right you have that cannot lawfully be removed.

9. Apps installed from the Apple App Store

If you obtained the Software from the Apple App Store, the following applies, and takes precedence over anything inconsistent elsewhere in this Licence:

• This Licence is between you and High5ive LLC only, not with Apple. We, not Apple, are solely responsible for the Software and its content.
• Apple has no obligation to provide any maintenance or support for the Software.
• If the Software fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Software.
• We, not Apple, are responsible for addressing any claim by you or a third party relating to the Software, including product liability claims, any claim that it fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third-party claim that the Software infringes that party's intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of this Licence, and upon your acceptance Apple has the right to enforce it against you as a third-party beneficiary.

10. Governing law

This Licence is governed by the laws of the State of Nevada, United States, without regard to its conflict of law provisions. The dispute resolution and class action waiver provisions of our Terms of Service apply to any dispute under this Licence.

11. Changes

We may revise this Licence. When we do, we will update the date at the top of this page, and the revised Licence applies to your continued use of the Software.
